Resell Licence Terms

§1(a)coldd's listed price for each product is set and stated in USD. If you sell in USD, the price you charge must be at least $0.25 USD above coldd's listed USD price. If you sell in a currency other than USD, the USD-equivalent of your sale price - calculated using a reasonable, verifiable exchange rate at the time of sale - must be at least $0.25 USD above coldd's listed USD price. Where coldd has set a specific Robux price for the product, the minimum price in Robux is 25 Robux above that listed Robux price. This minimum applies before and after any coupon, discount, promotion or bundle: the price the buyer actually pays, in any currency or in Robux, must never fall below the applicable minimum under this clause.

§1(b)A discount on a coldd product may not run for more than 14 consecutive days, and may not recur more often than once every 30 days for the same product - using discounting this way to functionally create a permanent lower price is prohibited. Within those limits, you may discount a product provided the final sale price never falls below the minimum required under § 1(a).

§1(c)coldd products may not be bundled with non-coldd products in a way that obscures their individual price.

§2(a)You may not use coldd's branding, logos, promotional materials or imagery.

§2(b)You may not claim ownership, authorship, exclusivity or any intellectual property rights in any coldd product.

§2(c)You may not advertise or imply features, updates or improvements not officially provided by coldd per your licence.

§3(a)You may only sell Standard Usage Licences to buyers.

§3(b)Giveaways, free releases or sales at $0 or equivalent value are prohibited.

§3(c)You must retain primary control over your storefront and may not appoint another person or entity as an authorised reseller of the licensed product.

§3(d)To the maximum extent permitted by law, coldd is not liable for indirect, incidental, consequential or special damages arising from the use or resale of its products.

§4(a)This section applies to you as a resell licence holder, specifically in connection with reselling the product. It does not change or reduce the rights an ordinary customer has to use, modify or adapt a product they've bought under coldd's normal Standard Usage Licence for their own projects - see § 1.3 of our Terms.

§4(b)You may not modify, edit, reverse engineer or otherwise alter a product for the purpose of creating and reselling a modified version of it. Removing a feature or fixing a bug for your own use of the product is permitted, but you may not use that allowance to create and resell what is, in substance, a materially different product from the one coldd licensed to you.

§4(c)Any bugs or errors discovered must be reported to coldd within 7 days of discovery.

§4(d)You may not misrepresent removed features.

§5(a)Your resell licence is non-transferable and may not be sold, traded or assigned, including through the sale of any account, group, server or business.

§5(b)Except where required by applicable law, all licence purchases are final and non-refundable. Fraudulent chargebacks or payment disputes may result in termination of the resell licence.

§5(c)Your licence may only be revoked for a breach of these terms.

§5(d)Your resell licence does not include product updates. Bug fixes may be provided upon request, but feature updates, new content and other improvements are excluded.

§5(e)coldd is not liable for disputes between resellers and their buyers and has no obligation to support third-party buyers, although we will fix bugs & maintain the product (where applicable) if reported to us.

§5(f)You may not create derivative works, adaptations, forks or modified versions of coldd products for resale or redistribution.

§5(g)coldd products may not be sold by, affiliated with or marketed alongside any individual, store, company or entity engaged in unlawful activity, asset theft, leaking or unauthorized asset distribution.

§6(a)Selling, sharing or distributing any coldd product without an explicit resell licence is strictly prohibited and may result in immediate DMCA action and any other available legal remedies.

§7(a)From the moment a resell licence is suspended or revoked under § 5(c), you must immediately stop selling and distributing the licensed product, remove it from your storefront and any active listings, stop issuing new licences for it, stop advertising it as available for sale, and stop any other activity that depends on holding the resell licence.

§7(b)Revocation is not retroactive to sales that were valid when made. A customer who bought the product from you before your resell licence was revoked keeps their own valid Standard Usage Licence, provided you were legitimately licensed and authorised to sell it to them at the time of that sale.

§7(c)coldd is not required to provide support directly to a reseller's customers, including after the reseller's resell licence is revoked, though coldd may choose to assist with a genuine product bug at its discretion.
